Difference between Black and Retail Kit Performance Drives?

Can anyone tell me what is the difference between Black Drives and Boxed Performance Drives (Retail Kits)?  I believe they have the same drive specs.

e.g. 

4TB Black Drive

WD4001FAEX

4TB Performance Drive

WDBSLA0040HNC

They have the same performance. The difference is packaging (Bulk drive vs. Retail box content) and associated costs.
